Formal business activity in Yemen commonly involves reserving a trade name, registering the business, obtaining a tax card and, where applicable, a zakat card, sector licence or investment approval. The Ministry of Economy, Industry & Investment and its General Directorate for Commercial and Industrial Registration and Trade Names handle core registration functions. The Tax Authority handles tax files, tax cards, declarations and employer withholding. Chambers of commerce provide representation, directories and membership services, while the General Investment Authority in Aden offers an investment channel and investor services. The one-stop service concept exists, but nationwide execution is not uniform. The Commercial Companies Law lists general partnerships, limited partnerships, joint-stock companies, companies limited by shares and limited liability companies. A limited liability company generally has at least 2 and no more than 25 partners. A public joint-stock service page lists at least 2 and no more than 30 shareholders, capital of at least YER 15,000,000 and an additional YER 3,000,000 for each extra activity; applicants should verify the current rule before filing. A limited liability company and most listed company forms have legal personality, while شركة المحاصة is excluded from that status. A trade-name reservation is generally valid for up to 60 days. A company manager should apply for company registration within 30 days after formation or licensing, while an individual trader should register within 60 days after starting business or opening a shop. Importers, exporters, contractors, brokers and commission agents generally need a fixed business address. Renewal practice may require valid ministry registration, approved recent financial statements, a tax card, a zakat card, Chamber membership and a contract with a legal accountant. Many micro, small and medium-sized enterprises operate informally or rely on cash, community trust and business networks. Informality can reduce access to credit, trade finance, reliable registry records and formal dispute processes. Finance remains difficult: cited data reports that 73% of businesses needed finance but only 14% obtained it, while only 8.4% of private enterprises obtained credit loans during 2017 to 2019. The Social Fund for Development Loan Guarantee Program can provide partial guarantees for micro and small firms that lack sufficient collateral. Yemen Loan Guarantee products have included coverage of roughly 80% to 90% and amounts of about YER 100,000 to YER 15,000,000, subject to participating financial institutions, credit assessment and local availability. Agriculture and value chains, food processing, light manufacturing, fisheries and mariculture, local production and reconstruction-related activity have evidenced relevance, but the feasible approach depends on security, transport, power, market access and the controlling administrative area. The Investment Law 3/1446 AH, listed as valid in 2025, covers areas such as industry, agriculture, tourism and energy and provides investment procedures, guarantees, incentives and dispute-settlement provisions; recognition and execution between control areas are not nationally harmonized. Renewal, suspension and closure require separate checks. Company renewal services are listed at about one to three days, but the applicable registration validity should be confirmed because older law text refers to ten-year renewal while Ministry communications refer to a five-year validity reform. A trader or estate representative generally requests deletion within 30 days after final cessation, or within six months after the trader’s death; a company generally applies within 60 days after liquidation. Tax cessation, transfer or cancellation must also be handled with the Tax Authority. A company remains a legal person during liquidation only for liquidation purposes, and the liquidator must publicize the appointment, register and publicize the liquidation and dissolution, inventory assets, pay debts and distribute any remaining balance. Liquidation or bankruptcy does not erase tax or debt duties.
