Tonga has a national framework for formal and informal micro, small and medium-sized businesses. Most processing is centred in Nuku'alofa, with additional MoRC access in Vava'u and 'Eua. Local rules do not have a documented subnational variation, but costs, timing and extra approvals depend on the activity. A company has its own legal personality. Registration requires at least one director, a constitution, shareholders and a Registered Office, Address for Service, Principal Place and communication address. Applications, renewals and filings are online from 2 February 2026. A client account is free. Company registration costs TOP300 excluding 15% Consumption Tax, name reservation costs TOP80 and the Certificate of Incorporation is free. The annual return costs TOP80 per year, with its filing date set by the Register. Failure to keep the company current can lead to strike-off. Restoration costs TOP450, plus TOP80 for each late annual return and TOP150 for each penalty. A Business Name is used for a sole trader, partnership or trading name. It does not create a separate legal person and does not provide liability protection. Online registration requires the proposed name, the owner's identification, relevant addresses and the primary activity. Registration costs TOP50 excluding 15% Consumption Tax, lasts one year, and allows up to three proposed names. Renewal costs TOP20 per year, amendments cost TOP20 and cessation is free. Annual renewal is required; otherwise the registration can be cancelled. A Business Licence generally covers every business activity in Tonga, with one licence covering the activities declared for that business. Hawking and the sale of fish, agricultural produce or native articles are carved out under the relevant Act. A person under 18 cannot obtain a Business Licence. The licence costs TOP100 excluding 15% Consumption Tax, renewal costs TOP50 per year and amendments cost TOP30. It remains valid until 31 December after issue or renewal. Changes must be reported within 10 working days, the licence must be displayed and it cannot be transferred. Operating without one can result in a fine of up to TOP1,000, imprisonment for up to 18 months, or both. Foreign participation requires a FIRC before the business starts. The application costs TOP500, a transfer costs TOP400 and an information change costs TOP50. Annual status reports and cessation notices are free. A late annual status report costs TOP250 and reinstatement costs TOP300. The implementation period is 12 months; an extension of up to 12 months may be available if requested at least 30 days before expiry. The Reserved List is exclusive to domestic investors and includes examples such as bus and taxi transport, guesthouses and youth hostels, used motor-vehicle retail, bread manufacture, traditional Tongan cultural activities, green or mature coconut exports and certain reef or inshore fishing and fish-processing activities. Restricted activities include industrial or deep-water fishing, grocery retail and some squash, pandanus, kava, paper mulberry and sandalwood activities. Conditions can include at least 30% Tongan equity or a cash owner contribution or paid-up capital of TOP250,000 or TOP500,000, depending on the activity. Tax registration starts with a Taxpayer Identification Number (TIN). Individuals use Form 1, sole traders use Form 2 and companies or other non-individuals use Form 3. The application normally needs valid identification or, depending on the structure, incorporation, Business Licence or partnership documents. Confirmation typically takes 3 to 5 working days and has no registration fee. Consumption Tax is charged at 15%. Registration becomes compulsory when taxable supplies reach TOP100,000 in the previous or next 12 months, and voluntary registration is possible below that level. Registration must be completed within 7 days after the obligation arises. The certificate must be displayed at each business location, and the return and payment are due within 28 days after the end of each month. Records must be kept in English or Tongan for 5 years. Small Business Tax (SBT) applies only to sole traders with turnover below TOP100,000 and does not cover professional services. The annual amounts are TOP100 for turnover up to TOP10,000, TOP250 for TOP10,001 to TOP30,000 and TOP500 for TOP30,001 to TOP50,000. Turnover from TOP50,001 to TOP100,000 is taxed at 2% without deductions. A sole trader above TOP50,000 generally files Form 12 quarterly within 28 days; otherwise the annual return is due by 31 October. Companies, partnerships and trusts generally pay 25% profit tax and file Form 11 by the applicable annual deadline, including financial statements, and within 4 months after the fiscal year where that rule applies. Employers must operate Pay As You Earn (PAYE), file Form 7 monthly within 28 days and submit the annual reconciliation by 31 August. The Business Support Division provides local business development, Buy Tonga Made activities, informal micro-business training and workshops, and links to community cooperatives and credit unions. Invest in Tonga offers confidential, free guidance, site visits, links to authorities and suppliers, aftercare and FIRC assistance. Informal activity can use local support or a formalisation pathway, but it is not a single legal form and does not generally replace a required Business Licence. When trading stops, a Business Name, Business Licence and FIRC cessation notice can be filed free of charge. Consumption Tax cancellation must be requested within 7 days after ceasing trade, changing ownership or falling below the TOP100,000 threshold. The final return and payment remain due, and the certificate must be returned. A company must continue its annual returns and status obligations until it is properly closed; otherwise the Registrar may strike it off.

Business activity in Tonga can use a company, which is a separate legal person, or a registered Business Name for a sole trader or partnership, which does not shield the owners from liability. Most business activities require a Business Licence, tax registration and any activity-specific approval; foreign participation also requires a Foreign Investment Registration Certificate (FIRC) before trading. Registration, licence, tax and annual filing duties continue while the business operates and must be closed or maintained properly when it stops. The main formal channels are the MCCTIL/MTED Business Registry and Registrar, the Ministry of Revenue and Customs (MoRC), Invest in Tonga and the Business Support Division.

A Business Name may suit a small owner-run activity when personal liability is acceptable, while a company is more suitable when separate legal personality and future scaling matter. Treat activity approval, foreign-investment clearance and tax registration as pre-trading gates rather than tasks to postpone.
