Anyone establishing a business in Belize first chooses the appropriate legal and operating form. A Business Name may represent a sole proprietor or partnership, but it is not a separate legal person and does not automatically shield personal assets. A Company, LLP or LLC may be more suitable where there are multiple participants, investments, greater liability risks or planned scaling. The choice affects ownership, representation, registry information, ongoing obligations and the later transfer of shares or assets. BCCAR handles, among other things, name reservations, registrations, incorporations, electronic filings, annual returns, changes, dissolutions and evidence of registry status. Many procedures are available around the clock through the Online Business Registry System (OBRS). A local user generally needs a Social Security ID and an email address. Depending on the circumstances, people without Belizean nationality or without a Social Security ID use an authorized agent; foreign participation in a Company requires a licensed registered agent (Licensed Registered Agent). Registration with BCCAR does not replace a local operating permit. Business premises may require lease or ownership evidence, zoning requirements and inspections. A Trade Licence under the Trade Licensing Act 2024 is issued by the responsible Local Authority. Depending on the area, this may be the Belize City Council, a Town Council, the Belmopan City Council or the Caye Caulker Village Council. Voluntary GST registration may be possible under certain conditions. Depending on the activity, further licences, inspections or filings may be required. This may concern tourism, food and health, the environment, fisheries, agriculture, imports and exports or transport. BELAPS serves as a digital interface for certain import and export permits; depending on the goods, Customs, BAHA, the Forest Department, Fisheries or Supplies Control may also be responsible. BCCAR registration is therefore not a general approval for every business activity. Foreign founders must separate business registration from immigration and employment law. Anyone physically working in Belize needs, depending on the circumstances, a temporary employment permit (Temporary Employment Permit) or must use the applicable rule for self-employment. Depending on the circumstances, costs include BCCAR, agent, incorporation and annual fees, as well as expenses for a Trade Licence, premises, inspections, taxes, sector-specific approvals, professional permits, immigration and ongoing compliance. Total costs cannot be reliably estimated as a general amount without information about the municipality, activity, structure and nationality. The Small Business Development Center Belize (SBDC Belize) is a unit of BELTRAIDE. It provides, among other things, confidential one-to-one advice, feasibility assessment, business-plan preparation, accounting, recordkeeping, marketing, financing options and training. Its advice is aimed at both startups and existing businesses. The Medium Enterprise Project may, in certain circumstances, allow qualifying micro, small and medium-sized enterprises to receive duty exemptions on certain imported goods. Grants, loans and incentive programmes each depend on the programme and its conditions; registration does not automatically create an entitlement to credit, funding or market access. During operation, businesses must, among other things, renew Trade Licences, submit tax and GST returns, keep receipts and records, and file annual returns with BCCAR. Changes in ownership, management, beneficial owners, address or business data must be updated in the registry depending on the structure. The Belize Intellectual Property Office (BELIPO) may be responsible for intellectual property. Once employees are engaged, registration with the Social Security Board (SSB) is required within seven days of the first employee; further contribution and reporting obligations then arise. Growth may lead from an informal activity through a Business Name to a Company, LLP or LLC. A more formal structure may offer advantages for liability, partners, investment and scaling, but creates additional registry, tax and compliance tasks. For export transactions, ExportBelize or BELTRAIDE may provide support. In ownership or asset transfers, registry, tax, licence, contract and sector-specific requirements must be reviewed separately. Approval to transfer a permit does not automatically follow the transfer of a business or asset. A business acquisition involving a Business Name requires checking the owner, partners, address, name, activity and agent. For a Company, shares, directors, beneficial owners and registry status must also be checked. Contracts, taxes, premises and sector-specific approvals each require separate review. Stopping operations does not automatically end legal and tax responsibility. A Business Name must report its termination; for a Company, LLP or LLC, depending on the circumstances, discontinuance, strike-off, dissolution or liquidation through BCCAR and the statutory process may be required. Taxes, Trade Licence, sector-specific approvals, creditors, contracts, leases, employees, inventory and records must be closed out. Dormant, struck-off and dissolved do not have the same meaning. Belize has no documented general entrepreneur status, no uniform entrepreneur licence and no guaranteed startup capital. Support from BELTRAIDE or SBDC Belize does not replace the responsible registry, tax, municipal, immigration or sector authority. Informal activities occur in practice, but increase the risk of legal enforcement, make financing more difficult and may threaten business continuity. False or missing information, operating without a required Licence and unpaid obligations may result in sanctions or other enforcement measures.
